Major Banks Adjust Credit Terms for Ares Commercial Real Estate

Three major financial institutions have modified their credit agreements with Ares Commercial Real Estate Corporation, according to recent regulatory filings. Citibank, Morgan Stanley, and Wells Fargo each agreed to reduce the minimum net worth requirements that the real estate investment trust must maintain.

The amendments, dated October 5, lower the net worth floor from the previous threshold of 500 million dollars. This change provides the company with greater financial flexibility under its existing credit arrangements.

For Wells Fargo specifically, the revised terms include an additional provision. The bank's requirement now incorporates 80 percent of net proceeds generated from any future equity issuances. This means that as Ares Commercial Real Estate raises capital through stock offerings, a significant portion of those funds will count toward meeting the net worth covenant.

The adjustments across all three lenders suggest a coordinated effort to accommodate the company's current financial position while maintaining appropriate safeguards for the banks. Lower net worth requirements can give borrowers more room to maneuver during periods of market volatility or when pursuing new investment opportunities.

Ares Commercial Real Estate focuses on originating and managing commercial real estate debt investments. The company operates as a real estate investment trust and holds a portfolio that includes senior loans, mezzanine debt, and other commercial property financing arrangements.

The filing did not disclose specific reasons for the amendments or whether the company requested the changes proactively. Representatives from the banks and the company have not issued public statements regarding the revised terms.
